Terms of Service
How the Angels Instead website, family portal, caregiver portal, texting, electronic signatures and online payments work, and what we each agree to. Last updated October 31, 2026.
These Terms of Service govern the Angels Instead website, the family and client portal, the caregiver and applicant portals, the job board, text messaging, electronic signatures and online payments. Care itself is governed by the signed Client Service Agreement.
1. Who we are and what these Terms cover
Angels Instead Group LLC, doing business as Angels Instead Home Care ("Angels Instead," "we," "us" or "our"), is a Texas limited liability company located at 7111 Five Forks Drive, Spring, Texas 77379. Angels Instead is a Home and Community Support Services Agency licensed by the Texas Health and Human Services Commission (HHSC). Our main business is non-medical in-home care. Skilled nursing may be arranged under our license when a care plan calls for it.
These Terms of Service (the "Terms") are a binding agreement between you and Angels Instead. They govern your use of:
- the website angelsinstead.com and its subdomains, including the online rate estimate, hospital discharge planner, long-term care insurance checker and VA benefits quiz (together, the "Website");
- the family and client portal, including care plan, visit and invoice views (the "Family Portal");
- the caregiver portal, the applicant portal and the job board (the "Caregiver Portal" and "Job Board");
- text messaging, email, phone and chat communications with our office;
- electronic documents and electronic signatures we send or request; and
- online invoice payment and saved payment methods.
Together these are the "Services." The word "you" means any person who uses the Services, including prospective and current clients, family members and other authorized contacts, caregivers, job applicants, referral partners, vendors and visitors.
The Services are offered in the United States only and are designed for families and caregivers in Texas.
2. Acceptance, eligibility and changes
By using any part of the Services, submitting a form, sending us a text message, opening a portal link, signing an electronic document or paying an invoice online, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old to use the Services. If you use the Services on behalf of a client, a family member or an organization, you represent that you have the authority to act for that person or organization and to accept these Terms for them, and that you will share these Terms with them.
We may update these Terms at any time. The "last updated" date at the top of the page shows the current version. Changes take effect when posted, except that material changes to Sections 9 (payments), 12 (non-solicitation) and 19 (arbitration) apply to existing portal users and clients 30 days after we post them or email the address on file, whichever is later. Your continued use of the Services after a change means you accept the updated Terms.
3. Care services are governed by the Client Service Agreement
Nothing on the Website creates a care relationship. In-home care begins only after a home visit or assessment, a written care plan and a signed Client Service Agreement (the "Service Agreement"). If these Terms and a signed Service Agreement conflict, the Service Agreement controls for care, rates and billing of that client.
Statements such as "care within 24 hours" and "same-day assessment" describe our usual practice and our goal. They depend on caregiver availability, location, the needs identified at assessment and completion of intake paperwork, and they are not a guarantee.
Shifts are scheduled in minimum blocks of four hours unless the Service Agreement says otherwise. We do not provide physical therapy or IV infusion services. We provide non-medical in-home care and, where ordered and staffed, skilled nursing under our HHSC license. We do not practice medicine.
Clients and their authorized contacts have the rights described in the Client Rights notice given at admission and in Texas law, including the right to receive services without discrimination and the right to file a complaint with HHSC (see Section 20). Nothing in these Terms limits those rights.
4. No medical advice, emergencies and website content
The Website, blog, guides, FAQ, checklists, chat demonstrations and any automated or AI-assisted replies are general information about home care. They are not medical, nursing, legal, financial, insurance or tax advice, and they do not replace the judgment of a physician, nurse, attorney, financial advisor or benefits counselor who knows your situation. Do not delay or disregard professional advice because of something you read on the Website.
If you or a loved one has a medical emergency, call 911. The Website, the Family Portal, text messaging, email and web forms are not monitored around the clock and must not be used to report an emergency, a fall, a medication problem or a change in condition. Call our office at 281-800-1800 for urgent scheduling matters.
We work to keep the Website accurate and current, but we do not promise that any content is complete, error-free or up to date. Descriptions of services, service areas, benefit programs (including VA Community Care and long-term care insurance) and prices may change without notice. Information about third-party programs is based on publicly available sources and the program's own rules control.
5. Online rate estimates, quotes and eligibility tools
The hourly rate estimate, the hospital discharge planner, the long-term care insurance checker and the VA benefits quiz produce estimates from the answers you give. They are provided for planning only.
- An estimate is not an offer, a quote or a contract. The rate that applies to a client is the rate set in the signed Service Agreement after assessment. Where the figure shown in your browser differs from the figure recorded by our systems, the recorded figure is the one we will confirm with you before care starts.
- Rates depend on the level of care, schedule, location, minimum shift length and the date care starts, and may change with 30 days' notice as described in the Service Agreement.
- Eligibility tools do not determine whether the VA, an insurer or any payer will authorize or pay for care. Only the payer can decide that. You remain responsible for charges a payer does not cover unless the Service Agreement says otherwise.
- You agree to give accurate information in these tools and in intake forms. We may decline or end services based on information that proves inaccurate.
6. Portals, accounts, sign-in codes and security
We may give clients, their authorized contacts, caregivers and applicants access to a portal through a personal link, a one-time sign-in code sent by text or email, or a password. Access is personal to the person it is issued to.
You agree to:
- keep your links, codes and passwords private and not forward a portal link to anyone else;
- tell us at once at info@angelsinstead.com or 281-800-1800 if you believe a link or code was shared, lost or used without permission;
- use the portal only for the client or account it was issued for; and
- accept that anything done through your link, code or password is treated as done by you until you notify us.
A client decides which family members or other contacts may see the care plan, visit updates and invoices, and may change or remove that access by contacting our office. Portal information is a convenience copy of our records. If a portal view and our office records differ, the office records control.
We may suspend or close portal access at any time for security reasons, after care ends, if an account is inactive, or if these Terms are violated. Links and codes expire. We are not responsible for messages or files that cannot be reached after access ends; ask our office for copies of records you are entitled to receive.
7. Text messages, calls and email
When you give us a phone number on a form, by text, by phone or in a portal, you agree that Angels Instead and the service providers acting for us may call and text that number about your inquiry, assessment, scheduling, visits, invoices, documents to sign, caregiver onboarding, job applications and our services. Messages may be sent by automated systems. Consent to marketing texts is not a condition of receiving care or employment, and marketing texts are sent only where you have opted in separately.
- Message frequency varies. Message and data rates may apply.
- Reply STOP to any text to stop receiving texts from that number. Reply HELP for help, or contact info@angelsinstead.com or 281-800-1800. After STOP we may send one message confirming that you have been unsubscribed.
- Texting is not secure. Do not send Social Security numbers, card numbers, bank details or detailed medical information by text. Use the portal, a signed document or a phone call instead.
- You are responsible for telling us when your number changes. If a number you gave us is reassigned to someone else, you agree we may not know that until you tell us.
- Phone calls with our office may be recorded for quality and training where permitted by law.
Our full Text Message Terms and our Privacy Policy explain these programs in more detail. Email from us may include visit updates, invoices and documents; you can unsubscribe from non-essential email using the link in each message. Operational messages about your care, account, invoices or job application may continue while you are a client, contact, caregiver or applicant.
8. Electronic signatures and electronic records
We may send Service Agreements, authorizations, consents, payment authorizations, caregiver onboarding forms and other documents for electronic review and signature. By clicking to agree, typing your name, drawing a signature or entering a code we sent you, you agree that:
- your electronic signature has the same legal effect as a handwritten signature under the federal E-SIGN Act and the Texas Uniform Electronic Transactions Act (Texas Business and Commerce Code Chapter 322);
- we may provide notices, agreements, invoices, receipts, statements and records electronically through the portal, email or text, instead of on paper;
- you have the hardware and software needed to receive and keep electronic records, including a device with internet access, a current browser, an email address and the ability to view and save PDF files;
- you can request a paper copy of any signed document, and withdraw your consent to electronic records for future documents, by writing to info@angelsinstead.com or 7111 Five Forks Drive, Spring, TX 77379. Withdrawal does not affect documents already signed and may delay services that require signed paperwork.
We record the name you type or draw, the fields you complete, the date and time, the IP address and the device used, and a cryptographic fingerprint of the signed document. These records are our evidence of the signing and are kept with the client or caregiver file. A signed document that a client, a caregiver or a contact receives by link is for that person only; forwarding a signing link does not transfer the right to sign.
9. Invoices, online payments, card surcharge and saved payment methods
Invoices are issued to the client and to the payer contact named in the Service Agreement. The client and the payer are each responsible for payment of amounts due under the Service Agreement, including hours authorized by the client or the client's representative that a third-party payer declines to cover. Payment terms, late policy and remittance details are printed on each invoice.
Online payments. Card and bank (ACH) payments made through the portal are processed by Stripe, Inc. under Stripe's own terms and privacy policy. We do not store full card or bank account numbers on our systems; Stripe stores them and gives us a token. Payments are applied to the invoice you select. A bank payment is credited when it clears; a card payment is credited when it is approved. A returned, reversed or disputed payment is the payer's responsibility, together with any bank fees charged to us.
Credit card surcharge. When you pay with a credit card, we may add a surcharge that does not exceed our cost of accepting the card and in no case exceeds 3% of the amount paid. Notice of the surcharge is given on the payment page before you enter card details, the surcharge is shown as a separate line, with the total, before you confirm the payment, and it is printed on the receipt. The surcharge is applied the same way to every credit card brand we accept. No surcharge is added to debit card, prepaid card or bank (ACH) payments. Choose a different payment method at any time before you confirm to avoid the surcharge.
Saved payment methods. If you sign a card or bank authorization, you authorize us to store a payment method with Stripe and to charge it for invoices as they come due, for the amounts and on the schedule stated in the authorization, until you revoke it. You may revoke a saved payment method by writing to info@angelsinstead.com; revocation is effective three business days after we receive it and does not cancel amounts already due. You agree to keep a valid payment method on file while required by the Service Agreement, and to notify us before a card expires or an account closes.
Questions and disputes. Tell us about any error on an invoice or receipt within 30 days of the invoice date so we can correct it. Charge disputes raised with a card issuer for services that were delivered as recorded in our visit records are treated as a breach of these Terms and the Service Agreement.
10. Visit verification, location data and family visit updates
Caregivers clock in and out of each visit through a visit link on their phone. At clock-in and clock-out the device reports its location and accuracy, which we compare with the client's home address to verify the visit. Caregivers agree to this collection as a condition of working visits. Location is collected only at those moments, not continuously, and is kept with the visit record for billing, payroll, payer audits and quality review.
Visit records (scheduled and actual times, tasks completed, caregiver notes and incident reports) are our business records. Billing and payroll are based on them, as corrected by the office where a clock time is missing or wrong. Clients and contacts may view visit information in the Family Portal and may ask the office to review any entry they believe is incorrect.
With the client's agreement, we can send visit updates by email or text to the contacts the client names. Those updates summarize a visit and are not a medical record or a substitute for talking with the care coordinator. Any contact can stop visit updates with the link in each message or by contacting the office.
11. Caregivers, job applicants and the caregiver portal
Applications. The Job Board lists positions with Angels Instead. Submitting an application is not an offer of employment and does not create an employment relationship. We may close a position, change its terms or decline any application at our discretion. You represent that everything in your application, resume, certifications and onboarding forms is true and complete, and you authorize us to verify it. Giving false information is grounds to decline or end employment.
Screening. Employment is conditioned on the checks required by Texas law and our policies, including criminal history checks through the Texas Department of Public Safety, the Employee Misconduct Registry and Nurse Aide Registry, reference checks, identity and work authorization verification, and any drug screening or health requirements we set. We send a written background check disclosure and obtain your signed authorization, as the Fair Credit Reporting Act and Texas law require, before any check is run.
Employment. Caregivers are employees of Angels Instead Group LLC, not of the client. Employment is at will. These Terms do not change the terms of any offer letter, employee handbook, caregiver agreement or policy, which control over these Terms for employment matters. Caregivers must follow the care plan, record visits accurately, keep client information confidential, and must not accept money, gifts, loans, power of attorney, or beneficiary designations from clients or their families, or care for a client outside the schedule we set.
Caregiver and applicant portals. The portals show your onboarding checklist, documents, schedule and recorded hours. Hours shown are subject to office review and the pay period rules in our payroll policy. Uploaded documents (identification, certifications, forms) are stored encrypted and used only for employment and compliance purposes. Sign-in codes are personal; see Section 6.
12. Non-solicitation of caregivers and placement fee
We invest in recruiting, screening, training, insuring and supervising every caregiver we send into a home. For that reason, during services and for 12 months after the last visit, a client, a client's family members and authorized contacts, and any facility or organization that received our services agree not to hire, engage or pay, directly or through another agency or registry, any caregiver, nurse or office employee who provided services to the client or was introduced through Angels Instead, for in-home care or similar services, without our prior written agreement.
If this Section is breached, the client and the person who made the engagement agree, jointly and severally, to pay Angels Instead a placement fee of $15,000 per caregiver within 30 days of our written demand. The parties agree that our actual loss from losing a trained caregiver and the client relationship (recruiting advertising, screening and background checks, orientation and training, licensing compliance, insurance and bonding, supervision, and the care revenue lost over the remaining relationship) would be hard to calculate at the time of breach, that the parties considered those costs in setting this amount, and that it is a reasonable estimate of that loss and not a penalty. We may also end services and seek any other remedy available at law, including recovery of attorney's fees under Texas Civil Practice and Remedies Code Chapter 38.
Caregivers likewise agree, as a condition of employment, not to solicit or accept private engagements from clients they met through Angels Instead during employment and for 12 months after, as set out in their caregiver agreement.
13. Referral partners, vendors and third parties
Hospitals, rehabilitation facilities, physicians, discharge planners, senior living communities, attorneys, financial advisors and other professionals who refer families to us ("Referral Partners") do so as independent parties. No partnership, joint venture, agency or employment relationship is created, and no Referral Partner may make promises, quote rates or sign anything on our behalf. We do not pay for referrals of clients whose care is covered by a federal or state health care program, and any referral arrangement must comply with the federal Anti-Kickback Statute and Texas Occupations Code Chapter 102.
A Referral Partner who gives us a family's contact information represents that it has the family's permission to do so. Information we receive from Referral Partners is handled under our Privacy Policy.
The Services may link to or rely on third parties, including Stripe (payments), Twilio (text messaging), Google (maps, analytics, reviews), Microsoft or Google email services, the U.S. Census geocoder, Elementor and our hosting provider. Those services are governed by their own terms and we are not responsible for their content, availability or practices. A link to a third-party site is not an endorsement.
If the Services are used through an organization (a facility, a payer, a case management company), that organization is responsible for its staff's compliance with these Terms.
14. Reviews, submissions and user content
If you send us a review, testimonial, photo, story, suggestion, message, application or other material ("Submission"), you keep ownership of it, and you grant Angels Instead a worldwide, royalty-free, perpetual, non-exclusive license to use, copy, edit for length or clarity, publish and display it on the Website, in social media and in marketing, with your first name and last initial or the name you used publicly, unless you tell us in writing that you do not want it used. We will not publish a client's health information in a testimonial without written authorization.
You represent that your Submission is your own, truthful, and does not violate anyone's rights or any confidentiality obligation. You must not post or send anything unlawful, defamatory, harassing, discriminatory, infringing, or that includes another person's private information without permission.
Reviews shown on the Website are taken from Google and other public platforms and are published as written there, with the author's public display name. We do not write, buy or edit reviews. If a review displayed on the Website is removed from or corrected on its source platform, tell us and we will update the Website.
We may remove any Submission or user content at any time and may share Submissions with law enforcement or regulators where the law requires.
15. Privacy and health information
Our Privacy Policy explains what we collect through the Services and how we use it. It is part of these Terms.
Information about a client's health, care plan and visits is protected health information under the Health Insurance Portability and Accountability Act (HIPAA) where we act as a covered entity, and under the Texas Medical Records Privacy Act (Texas Health and Safety Code Chapter 181) in all cases. We use and disclose it for treatment, payment and health care operations, as the client authorizes, and as the law requires. Our Notice of Privacy Practices, given at admission, describes clients' rights, including the right to request copies and corrections.
The Family Portal shows care information only to the contacts the client (or the client's legal representative) has named. Each contact is responsible for keeping that information confidential and for using it only in the client's interest. We may remove a contact's access at the client's request or where we believe access is being misused.
The Services are not for use by children, and we do not knowingly collect information from anyone under 18, except as a caregiver or client may report a minor family member's name as an emergency contact.
We use commercially reasonable administrative, technical and physical safeguards, including encryption of stored documents and secure connections (HTTPS), but no method of transmission or storage is completely secure, and you agree that we are not liable for unauthorized access that occurs despite reasonable safeguards. We will notify you of a breach of your unsecured information as required by Texas Business and Commerce Code Section 521.053 and, where applicable, HIPAA. We do not sell personal data, and we do not sell or share sensitive data (health information, precise location, or data about children) for any purpose. To the extent the Texas Data Privacy and Security Act applies to us, you may exercise the rights it gives you (to access, correct, delete and obtain a copy of your personal data, and to opt out of targeted advertising) by writing to info@angelsinstead.com; we will respond within 45 days.
16. Intellectual property and acceptable use
The Website, the portals, the Angels Instead name, logo and tagline, the text, photographs, graphics, guides, forms, rate tools, software and the look of the Services belong to Angels Instead Group LLC or its licensors and are protected by copyright, trademark and other laws. You may view and print pages for your personal, non-commercial use in considering or receiving our services. All other use requires our written permission.
You agree not to:
- copy, scrape, crawl, mirror, frame or republish the Website or its content, or use automated tools, bots or AI agents to extract data, submit forms, create accounts or test our systems;
- access or try to access any portal, account, record or system that is not yours, or circumvent any security or access control;
- submit false inquiries, applications or payment information, or impersonate another person or organization;
- upload malware, interfere with the operation of the Services, overload our servers or hosting, or interfere with text messaging or email delivery;
- use the Services to solicit our caregivers, clients or partners for any competing business, or to build a competing service;
- reverse engineer any part of the Services, or remove any copyright, trademark or confidentiality notice;
- use the Services in violation of any law, including laws on health privacy, consumer protection and unsolicited communications.
We may investigate violations, block access, remove content, suspend accounts and involve law enforcement. Unauthorized access to our systems may violate the federal Computer Fraud and Abuse Act and Texas Penal Code Section 33.02.
17. Disclaimers and limitation of liability
Disclaimer. THE WEBSITE, THE PORTALS, THE RATE AND ELIGIBILITY TOOLS, TEXT MESSAGING, ELECTRONIC DOCUMENTS AND ONLINE PAYMENTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ANGELS INSTEAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT MESSAGES, LINKS, CODES OR PAYMENTS WILL BE DELIVERED OR PROCESSED AT ANY PARTICULAR TIME. THIS SECTION DOES NOT LIMIT ANY WARRANTY OR DUTY OWED TO A CLIENT UNDER A SIGNED SERVICE AGREEMENT OR UNDER TEXAS HHSC RULES.
Limitation. TO THE FULLEST EXTENT PERMITTED BY LAW, ANGELS INSTEAD GROUP LLC, ITS OWNERS, MANAGERS, EMPLOYEES, CAREGIVERS, CONTRACTORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF USE OR COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE, THE PORTALS, THE TOOLS, MESSAGING, ELECTRONIC DOCUMENTS OR ONLINE PAYMENT PROCESSING (AS DISTINCT FROM THE DELIVERY OF CARE UNDER A SERVICE AGREEMENT) WILL NOT EXCEED THE GREATER OF (A) $500 OR (B) THE AMOUNTS YOU PAID TO US THROUGH THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Care claims. Claims about the care a client received are governed by the Service Agreement, Texas law and, where it applies, Chapter 74 of the Texas Civil Practice and Remedies Code. Nothing in this Section limits liability that cannot be limited under Texas law, including liability for gross negligence, willful misconduct, fraud or personal injury caused by our negligence where such limitation is prohibited.
Your responsibility. You are responsible for the accuracy of the information you give us, for the people you authorize to access a client's portal, for keeping your devices secure, and for the actions of anyone who uses your links, codes or accounts. Some states do not allow certain limitations; where that is the case these limitations apply to the fullest extent the law allows.
18. Indemnification
You agree to defend, indemnify and hold harmless Angels Instead Group LLC and its owners, managers, employees, caregivers, contractors and service providers from and against any claim, demand, loss, liability, damage, fine, cost or expense, including reasonable attorney's fees, arising from or related to: (a) your breach of these Terms or any representation in them; (b) information you provide that is inaccurate or incomplete, including information about a client's condition, medications, home hazards, pets or other persons in the home; (c) your violation of any law or of a third party's rights, including privacy and intellectual property rights; (d) your Submissions; (e) use of a portal, link, code, account or payment method by you or by anyone you allowed to use it; (f) a breach of Section 12 (non-solicitation); (g) for Referral Partners and organizations, any act of your staff, any referral made without the family's permission, and any breach of applicable health care or anti-kickback law; and (h) for caregivers and applicants, any false statement in an application or onboarding document.
We may take over the defense of any matter subject to indemnification at our expense, and you agree to cooperate. You may not settle a claim that imposes any obligation on us without our written consent.
19. Governing law, dispute resolution and arbitration
Governing law. These Terms and any dispute arising from the Services are governed by the laws of the State of Texas, without regard to its conflict-of-law rules, and by applicable federal law, including the Federal Arbitration Act.
Talk to us first. Before starting arbitration or a lawsuit, you agree to send a written description of the dispute and what you are asking for to Angels Instead Group LLC, 7111 Five Forks Drive, Spring, TX 77379, or info@angelsinstead.com, with "Dispute Notice" in the subject. We will do the same if we have a claim against you. The parties will try in good faith to resolve the dispute within 15 days of the notice. Most concerns are resolved by a call with our care coordinator or owner.
Binding arbitration. If the dispute is not resolved within 15 days, any claim arising from or relating to these Terms or the Services, except as stated below, will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single arbitrator. Claims between Angels Instead and its employees or applicants about employment are governed by the separate Mutual Arbitration Agreement signed during onboarding; where no such agreement has been signed, this Section applies to those claims under the AAA Employment Arbitration Rules. The arbitration will take place in Harris County, Texas, or by video at the parties' option. The arbitrator applies Texas law, may award any relief a court could award to the individual claimant, and will issue a written decision. Judgment on the award may be entered in any court with jurisdiction. For consumer claims, we will pay all AAA filing, administrative and arbitrator fees above $200, unless the arbitrator finds the claim frivolous.
What this means. YOU AND ANGELS INSTEAD EACH GIVE UP THE RIGHT TO A TRIAL BY JUDGE OR JURY AND THE RIGHT TO TAKE PART IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims of different people or award relief to anyone other than the parties.
Exceptions. Either party may bring an individual claim in small claims court in Harris County, Texas, or in the county where the client receives services. Either party may seek a temporary restraining order or injunction in court to protect intellectual property, confidential information or client safety, or to enforce Section 12. Nothing in this Section prevents a client from filing a complaint with HHSC or any other agency, or prevents a caregiver from filing a charge with the EEOC, the Texas Workforce Commission or any other agency. Claims that by law cannot be arbitrated are excluded.
Opt-out. You may opt out of this arbitration agreement by sending a signed letter with your name, address and phone number to the address above within 30 days after you first accept these Terms. If you opt out, or if the class-action waiver is found unenforceable as to a claim, that claim will be heard in the state or federal courts located in Harris County, Texas, and you consent to their jurisdiction and venue. A client who opts out does not lose any right to receive services.
Time limit. Any claim relating to the Services (not to care itself) must be brought within one year after it arose, or it is permanently barred, where the law allows this limit.
20. General terms, complaints to Texas HHSC and contact
Complaints about care. Angels Instead is licensed by the Texas Health and Human Services Commission. Any client, family member or caregiver may file a complaint about our services with HHSC Complaint and Incident Intake at 1-800-458-9858 or through hhs.texas.gov, at any time and without retaliation. You may also contact our Administrator at 281-800-1800. These Terms do not limit that right.
Termination. We may suspend or end your use of the Website, a portal or messaging at any time, with or without notice, for breach of these Terms, for security reasons, or because the related care, employment or partner relationship has ended. Sections 9, 12, 14 (license), 15, 17, 18, 19 and 20 survive termination.
Entire agreement; order of precedence. These Terms, the Privacy Policy and the Text Message Terms are the entire agreement about use of the Services. A signed Service Agreement controls for care and billing; a signed caregiver agreement, offer letter or handbook controls for employment; a signed partner agreement controls for referral relationships. Where none of those speak to a subject, these Terms apply.
Severability and waiver. If any part of these Terms is unenforceable, the rest remains in effect and the unenforceable part will be applied to the fullest extent the law allows. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms. We may assign them to a successor to our business or to an affiliate, including a franchisee or affiliated agency serving your area, on notice to you.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including severe weather, floods, hurricanes, power or internet outages, public health emergencies, labor shortages, carrier or payment-processor outages, or government action.
Notices. Notices to you may be sent to the email address, phone number or portal on file. Notices to us must be in writing to Angels Instead Group LLC, 7111 Five Forks Drive, Spring, Texas 77379, or info@angelsinstead.com, with a copy by fax to (713) 456-2544 for legal notices.
Contact. Angels Instead Home Care, 281-800-1800, info@angelsinstead.com, 7111 Five Forks Drive, Spring, TX 77379. Serving Houston, Dallas and surrounding communities.
